Terms of Service
CODESTRA LLC.
This document sets forth the general conditions under which CODESTRA LLC ("the Company," "we") provides telephone answering, appointment setting, and CRM management services to contractors and service companies ("the Client"). By engaging our services, the Client agrees to be bound by these terms under applicable United States law.
1. Description of Services
CODESTRA LLC provides remote administrative and commercial support services, including:
Receiving and making calls to prospects and interested parties (Call Center).
Lead qualification and appointment scheduling on the client's calendar.
Updating, organizing, and maintaining the client's CRM system.
2. Compliance with Federal and State Regulations (Communications)
CODESTRA LLC and the Client agree to comply with applicable U.S. telecommunications regulations:
TCPA & TSR: All calls and text messages (SMS) will be made in compliance with the Telephone Consumer Protection Act (TCPA) and the Telemarketing Sales Rule (TSR).Registro Do Not Call (DNC): Nor unsolicited calls will be made to numbers registered on the National Do Not Call Registry, unless there is an established business relationship or prior express written consent.
Time Restriction: Sales calls will be made within legally permitted hours (generally 8:00 AM to 9:00 PM, recipient's local time)..
3. Client Responsibilities
Accuracy of Information: The Client is responsible for providing correct technical information, indicative pricing, and schedule availability to ensure optimal agent performance.
Software Licenses: The Client shall retain the rights and licenses for the CRM software contracted independently, unless the contract specifies that CODESTRA LLC will provide the platform under its own subscription.
On-site Follow-up: CODESTRA LLC only coordinates and confirms the appointment; the execution of the technical visit, the preparation of the final quote, and the on-site work are the sole responsibility of the Client..
4. Confidentiality and Data Protection
Confidential Information: All information regarding the Client's customer database, business strategies, and operational information shall be treated as strictly confidential.
Use of Customer Data: CODESTRA LLC will use information regarding the Client’s prospects and end customers solely for the provision of the agreed-upon services and will not sell or share such information with third parties.
5. Independent Contractor
CODESTRA LLC acts as an independent contractor. The relationship between the parties does not constitute employment, a partnership, or a joint venture. Neither party has the authority to legally bind or commit the other with respect to third parties, except as expressly authorized for the scheduling of appointments.
6. Warranties and Limitation of Liability
Nature of Service: CODESTRA LLC uses its best commercial efforts to secure valid appointments and keep the CRM up to date. However, it does not guarantee a specific percentage of closed sales or revenue, as the final sale depends on the Client's pricing and execution.
Limitation of Liability: To the maximum extent permitted by law, CODESTRA LLC’s total liability for any claim arising from the services shall be limited to the amount paid by the Client for the services during the twelve (12) months preceding the event.
7. Billing, Payments, and Cancellation
Payment Terms: Payments shall be made according to the frequency agreed upon (weekly, bi-weekly, or monthly) in the commercial proposal or invoice.
Cancellation: Either party may terminate the service by providing written notice at least [15 or 30] days in advance.
8. Governing Law and Jurisdiction
This agreement shall be governed by and construed in accordance with the laws of the State of Texas, without giving effect to its conflict of laws principles. Any legal dispute relating to this agreement shall be submitted to the state or federal courts with jurisdiction in said State.
